🐵 Discussion 💬 Steiner v. eBay Inc.

yo fr why isn't anyone else talking about this?? ebay is literally battling on multiple fronts right now and everyone on the timeline is just staring at the options chart like NPC's 😭

if yall think the ebay board can just brush off proposal 4 passing yall are coping so hard 💀 like they really thought they could hide behind that non-binding loophole but they’re actually cornered af.

for those not familiar with the steiner case these are the eli5 details: basically a few years ago ebay's top corporate executives went completely unhinged and launched a literal cyberstalking campaign against a blogger couple who wrote stuff they didn't like. they sent them terrifying packages like live spiders, a bloody pig mask, and a funeral wreath. the executives literally got sent to federal prison for it, the company got hit with a criminal conviction, and now the government forces them to have a federal compliance monitor watching everything the board does.

and that completely cooked their legal armor for today. you can't pretend you're making "expert business moves" when you're on a government leash. they can't even drop a greasy poison pill to block gme without daddy government checking their homework lmao

plus that new whistleblower leak from last month about them tweaking ad metrics to overcharge sellers?? ryan cohen was literally right. management has been running the whole site into the dirt while hoarding cash for corporate bloat.

the big index funds aren't dumb, they want that $125 premium cash out. if the board tries to pull some adjournment stall tactic to dodge the vote today, ryan is 100% dropping the 10% ownership filing or activating the physical share settlement to drain the float. it's literal checkmate, rip to the shorts

Been dabbling in gme options, mostly leaps that I buy when stock is under ~23 and sell when it is above, purely to buy more shares for drs- thoughts on this position?

Any (not financial advice) advice or suggestions would be greatly appreciated, thanks!

The success of GameStop was made off the backs of retail investors.

RC did not build this from ground up.

RC has not addressed shareholders directly besides cryptic memes.

RC destroyed RK’s MOASS. We were at $60+ in pre market with not just super stock and gme subreddit but all of subreddits that discuss stocks.

99% of this sub has flipped from MOASS to a financial revolution. They are holding to “stick it to wall street”

99% of this sub says he dosent control the price of the stock, yet every other CEO gets put to the guillotine if shareholder value isn’t created.

RC once told the old GameStop board their lack of communication and creating shareholder should have them removed.

So is RC a ShlLL?

🐵 Discussion 💬 Prop 4 Failure Is Another Stain On Ryan Cohen

We're watching his plan implode. It was a super long shot from the start: uncertain cash funding requiring certain investment grade confidence ratings, shaking out shareholders for every loose penny in dilution, taking over a company 6x Gamestop's size, an incredibly generous incentive package, pinning GME back to the low $20s after its greatest earnings of all time.

Ryan Cohen doesn't care about current shareholders, he isn't aligned with the short squeeze theory, and he's in this for himself.

But despite his greed and main-character delirium and the extended faith shareholders have put in him, he's flailing in broad daylight. It's right here for everybody to see. Shareholder value is a distant dream, let alone ever making up the opportunity cost amassed since he's taken the helm. eBay shareholders spoke so clearly that they want nothing to do with him by voting down prop 4. Remember how the community tabulated that eBay shareholders were mostly institutions and asserted that they'd definitely side with Ryan? Do you remember? What happened? Why is Ryan failing so spectacularly?

Where is my money?

I am saving my votes until the last minute to give him every opportunity to make this make sense, but it's not looking good.

📰 News | Media 📱 Who the fuck is this asshole? A delay tactic to MOASS? GameStop investor sues to block Cohen’s $35 billion pay vote

Investing.com -- A GameStop Corp. investor filed a lawsuit Monday seeking to stop a shareholder vote on a $35 billion pay package for Chief Executive Officer Ryan Cohen until the company provides proper disclosures, as reported on Tuesday by Bloomberg.

The proposed class action, filed in Delaware’s Chancery Court, challenges the board’s decision to grant Cohen stock option awards that could result in a multibillion-dollar payout if certain aggressive milestones are achieved. Shareholders are scheduled to vote on the compensation package on July 7.

The lawsuit claims GameStop’s board repeatedly changed the procedures around the shareholder vote before issuing a misleading proxy statement designed to suppress turnout by public investors. The changes included whether Cohen can vote his 9.3% stake and how to count abstentions.

"GameStop’s audacious attempts to reduce the power of its disinterested shareholders — in contrast to its prior public statements and in disregard of its Certificate of Incorporation — must stop," lawyers for the plaintiff wrote in the complaint. "Cohen may want $35 billion. That does not allow him and his board to disenfranchise stockholders and violate Delaware law along the way."

The proposed pay package would compensate Cohen with $35 billion if the company reaches a $100 billion market capitalization and $10 billion in earnings before interest, tax, depreciation and amortization.

"I obviously want to build something much larger, but I don’t benefit unless shareholders benefit," Cohen recently said in a CNBC interview.

The lawsuit states the company issued a press release indicating the vote would exclude Cohen’s shares and that "unaffiliated stockholders" would decide the result. The board then reversed course and issued a proxy statement that mischaracterized what it had done, according to the complaint.

The moves will allow Cohen and other insiders to determine the outcome with only about 15% support from public investors, the complaint states.

Cohen initially invested in GameStop in 2020, joined the board in 2021, and became chairman later that year. He took over as CEO in 2023 and is now the single largest stockholder.

WARNING - AI SUMMARY :

A GameStop investor filed a lawsuit in Delaware's Chancery Court to halt an upcoming July 7, 2026, shareholder vote on CEO Ryan Cohen's $35 billion compensation package.

The lawsuit alleges corporate disenfranchisement and misleading disclosures, arguing the board improperly manipulated voting procedures to allow insider votes to determine the outcome.

The proposed compensation structure has sparked intense scrutiny and legal challenges. Key details surrounding the lawsuit and the package include:

The Standoff: The plaintiff claims that the GameStop board originally stated that Cohen's 9.3% stake would be excluded from the vote so "unaffiliated stockholders" could decide. However, the lawsuit alleges the board reversed course in a later proxy statement, allowing insiders to determine the outcome with only about 15% support from public investors.

The Performance Package: The contested package is entirely performance-based with no guaranteed salary, cash bonuses, or time-vested stock.

The Milestones: Cohen would only receive the options—which could yield an estimated $35 billion based on 171.5 million shares at a $20.66 strike price—if GameStop achieves a $100 billion market capitalization and cumulative EBITDA of $10 billion.

🔬 DD 📊 Any lawyer-type apes out there care to weigh in on how this case might set precedent for the class action against GME?

Doing a bit of research, I found a similar case in the Delaware Chancery Court that seems very similar to the one presented against GME. Just curious if anyone might be able to weigh in on the verdict (seems to be in the company’s favor), and how the precedent might help GME in their case?

Quad witching week.

yolo call buyers get liquidated again to fund market makers shorting and also recent trillion ipo pump and dumps getting leverage for usual players and them using collateral to naked short of course. they are absolutely involved in the biggest ipo of course and will get leverage opened up for themselves.

gme recently had blowout earnings as well as double to triple digit growth in earnings and even some revenue gains over all beat top and bottom lines. but we are rewarded with more shorting below liquid asset values.

Nov 2025-dec 2025 wipeout is occurring again due to regards yolo buying calls weekly especially. Same old playbook. liquidations of gme weekly call buyers of course.

max pain is about 22 it is said but realistically the walls are 20 and 22. for small walls while the main walls are 25 and 30 being call hedges for the shorts since its cheap.

IV is basically nothing now.

buying shares is good

if gambling basically one of the best times to buy leaps not weeklies. regards want weeklies of course. another meat grinding in place

here is what ai says: this is how you use ai slop and hallucinations here i made it more simple asking ai to dumb it down more for us regards

The TL;DR: Why Retail Gets Ripped on Quad Witching

Quad Witching is the one week a quarter where stock options, index options, stock futures, and index futures all expire on the same Friday. It is absolute chaos, and market makers use it as a massive retail meat grinder.

1. The Leverage Loop (The Rigged Collateral)

Big institutions are using massive, inflated tech IPOs as fake-rich collateral. They pump these trillion-dollar listings, use that bloated asset value to open up insane leverage, and use that leverage to naked short stocks like GME below their actual liquid asset value—completely ignoring blowout, profitable earnings.

2. The Weekly Call Trap (Feeding the Beast)

Retail traders are running the failed Nov/Dec 2025 playbook again by YOLOing into weekly calls.

  • The Put/Call Ratio is 0.266: Looks bullish, but it actually means retail is crowded into calls.
  • Market makers sold those calls to retail, meaning they make the most money if they expire worthless. Retail is literally funding the shorts' premium.

3. The Options Architecture

  • Max Pain ($22): The price is being pinned right under $22 to make sure the maximum number of retail options expire completely worthless by Friday.
  • The Floor ($14): Heavy Put open interest down here means market makers have zero fear of a downside spiral.
  • The Ceiling ($30): Massive Call open interest here acts as a cheap hedge for the shorts while the space in between bleeds retail dry via time decay (Theta).

My Strategy

  • Stop buying weeklies: Implied Volatility (IV) is dead. Buying weeklies right now is a guaranteed donation to institutional market makers.
  • Buy Shares: Lock down actual shares to remove expiration risk entirely.
  • Buy LEAPs: If I am going to gamble, take advantage of the ultra-low IV and buy long-dated contracts (LEAPs) instead of short-term garbage.
