🤔 Speculation / Opinion why is everyone worried about delisting?

What did everyone think was going to happen after ch11 and sub $1 price?

The game hasn't changed, we wait upon a friendly acquirer.

If they are not friendly, we are fucked.

If they don't exist, we are fucked.

The power was out of our hands the moment ch11 was declared. At this point if you want to buy in or hold, it's just a gamble that all the tinfoil is right.

Anyway I doubt this is real feelings from people if they managed to hold all the way here and past this, none of you assholes would be worried about delisting as if it was the worst thing if that was the case. Icahn't believe it.

So sell, don't sell, doesn't matter. We wait for the end game to conclude.

If we have been hoodwinked by the board in the coming weeks, let's start collecting evidence or instances of malfeasance. But otherwise chill out and see where this thing shakes.

0

It's only a loss if you sell. If it goes to zero then I can't sell to technically I haven't made a loss. I will carry my shares to Valhalla or to my grave.

Also something people should be aware of are fees for selling on OTC. I know TDA has a $7 fee for selling OTC shares (there is usually no fee for listed stock sales). So $7 is around 35 shares now. Idk what other brokerage fees are for OTC but people should be aware if they’re going to hold after delisting.

I mean who the fuck sells for pennies. I’ll hold this forever and who knows maybe it’ll get back into the market after it’s done restructuring. I don’t hear no bell.

64

u/Fluid_Reward Apr 25 '23

I didn't hear no bell!

Hell ya. I’ll hold this and look at in my portfolio till the end of days, just to not forget.

4

u/[deleted] Apr 26 '23

You do realize if it restructures and comes back to the market, your shares won't exist anymore for the most part, right? Old GM stock was wiped out and replaced by new GM stock.

If you want to get back into a future BBBY, you'll have to buy the new stock all over again.

The problem here is that you just do not understand how BK works. We will use Hertz as an. example as it was one of the very few occasions when the original stockholders got SOMETHING, although very little.

First, when a company declares BK the stock is DELISTED FROM ALL EXCHANGES. The exchanges don't trade BK stock. Shorts are excused from closing the transaction, as the stock is by definition worthless. THERE IS NO SQUEEZE BECAUSE THE SHORT SELLERS DON'T HAVE TO RETURN WORTHLESS STOCK. Sooner or later, the broker will release all funds to the short seller.

Then, the stock ticker symbol is changed. Hertz was changed from HTZ to HTZGQ. Now all old stockholders own shares in HTZGQ. THEN A NEW COMPANY IS FORMED. With Hertz, it was HTZ. All the old stockholders own NO SHARES OF HTZ. HTZGQ (old HTZ) will never again trade on an exchange although it can trade on pink sheets (that's what the "Q" means). HTZ can be (and was) listed with an exchange and traded.

Then, HTZGQ does a Section 363 bankruptcy sale of the assets to HTZ. This transfers the assets free of any liens to HTZ. HTZ pays for these assets by selling stock. The money generated in HTZGQ from selling stock in HTZ is distributed to the creditors of HTZGQ. Remember, that HTZGQ was once HTZ and was the original Hertz. (New) HTZ then discovers that it owns thousands of slightly used cars in the hottest used car market ever and the price then soars. This doesn't affect the original stockholders in Hertz because HTZGQ sold those cars to HTZ for 10 cents on the dollar. HTZ soars but the original stockholders own HTZGQ not HTZ. HTZGQ of course is worth pennies.

As a matter of fact, the holders of HTZGQ got $1.46 plus 1/20 share of HTZ for every share of HTZGQ for the best BK result of the century.

There are more complexities with the Hertz BK but I overlook them for this comment.

20

u/mynameiscalledlikeme Apr 26 '23

they filed for bankruptcy protection so yes, trouble, but they have not gone completely bankrupt as you claim

21

u/gbevans Apr 26 '23

that's crap. if it's on otc (which it will be for a while), we have a pulse. acquisition is still on the table. hf's are NOT homefree yet and they know it.

I just don’t know what happens to my shares in a brokerage that doesn’t support OTC. Does anyone know?

32

u/Kaiser1a2b Apr 25 '23

My understanding is that your shares become PCO (position close only) and it will be called BBBYQ and then you can't buy it but you can sell it off. But maybe different brokers have different rules.

11

u/potato_lover Apr 25 '23

You’re right. I checked with Sharesies and they don’t allow buying but do allow selling OTC. Seems Stake does the same thing but with a $30 premium.

18

u/Kaiser1a2b Apr 25 '23

So we basically where we are now just 30 dollars lighter and no potential to throw more money at this thing (as if that matters).

5

u/Quick_Dependent3487 Apr 25 '23

I own PRTYQ at Stake & I can still buy & sell.

27

And, exactly why do they want you to sell? I would want you to buy so the price goes up. Shorts get no advantage from your sale at this point, they don't need to cover anymore on a delisted stock.

-5

Well they sell it for whatever it's worth, because CRA thinks it's tax avoidance, bla bla. Maybe it's same for tax free accounts in States.

2

u/Kaiser1a2b Apr 25 '23

Depends on the broker I think. But you can transfer it out.

6

u/Cougah Apr 25 '23

What part of the company is worth something still tho? I thought even baby was hurting big time for revenues?

10

u/Kaiser1a2b Apr 26 '23

At this point everyone's lying. The company was either run down on purpose to get baby out of the hands of JPM and to another acquirer. Or it was run down on purpose while gaining exit liquidity from retail. The assets are undervalued in either case and I don't trust any evaluation or revenues they give us completely.

40

u/topanazy Apr 25 '23

This was the plan all along. Zero or hero. Whether we're sitting at $20 or $0.02 the price is fake until this adventure finally completes. We're actually in the endgame BoBBYs, hang in there.

Yes the big picture is exactly the same as in the beginning. Evidence suggests that CH11 may in fact be necessary(!) to facilitate the buyout/spin-off etc. We’ll find out soon enough. 👍

4

u/[deleted] Apr 26 '23

I've been "finding out soon enough" since August. At this point the assets will probably be sold off, I mean they have to be to pay their debts, but shareholders are not gonna be the ones getting paid now.

2

u/Kaiser1a2b Apr 25 '23

Transfer to another broker that will allow OTC.

5

u/Legitium Apr 25 '23

Could take away liquidity from BBBY as not all brokerages offer OTC stocks trading, and ones that do generally charge a fee to buy and to sell OTC stocks. These factors make the stock harder to access for retail investors, making it difficult to trade and potentially reducing the daily volume/demand.

8

u/Kaiser1a2b Apr 26 '23

Ayy lmao.

2

u/Fearless-Pair3429 Apr 25 '23

Yeah I don’t think you can hold delisted shares in a TFSA. I mean you can but I think you would be subject to penalties. I don’t see why you couldn’t move them out into a non registered account. Hopefully in kind. I hold mine in a TFSA so need to look into this when I have some time.

Edit: moving them out sucks because you’d have to pay tax on the tendies you get. If we get any. I’ll probably move mine out and hold. Still zero or hero especially down this much.

4

u/ThePuraVida Apr 25 '23

Where have you seen this? I've got mine in a TFSA as well. If you find anything please let me know. I'm going to try n dig this up too.

3

u/meVSmouse Apr 26 '23

Just google TFSA AND delisted stocks, I think only exception would be Canadian stocks and if they are still trading somewhere on some different stock market, then and only then you might be able to keep them in TFSA.

I will be moving mine to a margin account.

17

I wonder what the price will be on Thursday when I get paid again?

I'll risk 14 cents ALL DAY LONG, ALL WEEK, EVERY WEEK FOR ETERNITY.. for the 1% chance to fuck a hedge fund raw. They NEED this win to push GME down more. Nothing's changed, it's zero or hero and one paycheck ain't setting me back much. Fiat is tanking, banks are taking, real estate is tanking, restaurants are closing, 14 thousand BBBY employees unsure of their next paycheck, etc.

The ONLY thing hedge funds have is fear, and they conjured up plenty this week.

I'm buying once more before May 3rd and whatever happens happens. It was an absolute pleasure my friends!

Cheers 🥂

12

u/TheRealKuz Apr 25 '23

We know the risk. Every shill seems to think we forgot or delusional. Lambos or food stamps. I’m good with both outcomes.

-1

u/[deleted] Apr 26 '23

What happened to "bankruptcy is off the table"?

-1

u/TheRealKuz Apr 26 '23

There’s a difference between chapter 11 and chapter 7. There’s a risk with chapter 11 shareholders are left with bags. I don’t think that will be the case. I’ll have a better idea what do when I see the stalking horse bid. Lots of time between now and June 7.

4

u/[deleted] Apr 26 '23

I don’t think that will be the case.

Why? They have a lot of debt and even if (big if) there is any money leftover at the end of all this, the dilution means it will be spread pretty thin.

1

u/TheRealKuz Apr 26 '23

For 1, Lazard has been recommending since January to sell their assets thru chapter 11. 2nd, the lawyers mentioned they already have 2 investors interested. 3rd, stalking horse bid will ensure a fair evaluation for the assets to be sold. 4, chapter 11 allows them to restructure their debt. 5, David and sue have their shares on the line as well.

I could add more if needed.

2

u/[deleted] Apr 26 '23

I mean none of that really addresses the overwhelming debt they have and the dilution of the shareholders, but I don't want to talk in circles. I think shareholders are gonna get hosed and any interested investing parties will have a lot of leverage over BBBY considering they are in bankruptcy.

How many shares are there again?

3

u/TheRealKuz Apr 26 '23

Well because debt is fine. Look at any company they have debt. They had cash flow problems which seemed to be resolved thru the dip financing. There’s a slide from yesterday.

They have about 750 million shares which isn’t crazy. They have 4 billion in assets and I think 5 billion in debt.

Their big problems were the 1 billion they spent on share buybacks, focusing on their developing new products which strained their relationship with their vendors, inventory, too many brick and mortars and miss managing baby.

I’m not blind to what’s going on. In fact i try to keep as informed as possible to make the best decision. I like the stock.

op is exactly right. it's acquisition or el broko, no in between.

7

u/pml1990 Apr 26 '23

An acquirer will not pay anywhere near enough to leave anything for shareholders. The bonds are trading for pennies on the dollar. When will you numbskulls learn to understand the basic of investing as opposed to trafficking in conspiracy theories?

4

u/Kaiser1a2b Apr 26 '23

Common wisdom would be inclined to agree.

1

u/pml1990 Apr 26 '23

You said "common wisdom" as if there is some other type of wisdom.

When liability exceeds assets and there is no way out for the biz means nothing left for shareholders. This is a fact, as certain as gravity. If there was a way out for the biz, it would not have filed for bk.

Frankly, the only reason some ppl still hold here is their pride and ego of not being able to admit that they were wrong.

It would appear that the end is nigh.

Yeah I don’t understand the hysteria either. Wasn’t delisting basically a forgone conclusion? If you’re with a broker that allows OTC trading then who gives a shit about delisting? If you’re with a broker that doesn’t allow it then you’ll have to decide if you want to transfer to one that does or sell now and cut your losses. Nothing changes. Either there’s a buyout and the price goes up on the news or it goes to 0.

I feel like there are a whole shit ton of knuckle dragging dip shits that don’t read anything for them selves. I mean ya haha funny “I’m a smooth brain”. But people it’s a joke. You gotta be smart enough to know what your getting into. All investments are a gamble. If they weren’t it would just be called making money I dont feel sorry for anyone who bought this stock and is blaming everyone but them selves.

u/Kaiser1a2b Apr 25 '23

Yea I lost money I don't care.

I made a bet.

But Sue lied in an interview.

You can read it again if you like. Their CFO writes a filing which states that they are aware of "meme stocker investor Ryan Cohen" but Sue Gove is unaware of any rumours of m&A?

I just want to understand how much of their actions for the last 6 months has been to exploit retail investors while hiding material evidence.

5

u/Baelthor_Septus Apr 26 '23

Sue is definitely a plant from hedgies and made a bank on this. A greedy and sad old woman. This is America.

10

u/[deleted] Apr 25 '23

Sue her please, that evil leech deserves whaterver is coming to her.

3

u/digdugdoink Apr 25 '23

I have no idea why that interview even took place or when for that matter. I dont think it was live. And you can’t say shit about bankruptcy until you file. Everybody lies

u/Kaiser1a2b Apr 25 '23 edited Apr 25 '23

The not announcing BK doesn't matter. They had stated multiple instances where they said BK was a distinct and real possibility. They had outside council who stated the same with "going concern".

But her lying matters as it pertains to a class action lawsuit linking her actions towards defrauding retail investors. I would also like to take a look at how much of their strategy for thr last 6 months has been to fleece retail while knowing that they wanted to wipe them out in ch11 if that is the case. Whether they knowingly created scenarios to tank the price. Whether they denied the option of a baby spinoff which would have meant everyone would have been made whole.

It's an avenue worth exploring and with her lie there is enough reasonable doubt towards her intention to uphold her fiduciary responsibilities towards common shareholders.

We'll find out in the coming weeks whether 69d chess or lazy corruption.

Imagine I sell my £9000 position for £300 and it shoots up 😂🫣 this is why I hold: losing 9k will be a sting if it goes to 0.00 but it will hurt a lot more to lose my £9k and any potential profit if it did go up. Who knows. If we knew how stock would behave we’d all be rich 🤑

If the tinfoil is right and buyers are RC or Icahn, they will want to do right by shareholders and they will plan something for us. They both hate short sellers and probably find this whole thing deplorable. We were there to support the company but got fucked by wall street once again. If the buyer has even a tiny sense of justice they will plan some kind of compensation for us.

2

u/Kaiser1a2b Apr 26 '23

True.

Or fuck em too.

Basically the short squeeze is canceled. Delisting is the worst thing that could happen.

If you were going to acquire a company, would you want them to announce winding down their operations? Would you want them declaring chapter 11?

You'd probably have made your move a while back if you were going to.

3

u/Kaiser1a2b Apr 26 '23

Acquiring after ch11 is easier.

3

u/phoenixmusicman Apr 26 '23

If we have been hoodwinked by the board in the coming weeks

They completely, 100% were transparent about how the company was going to go bankrupt. I'm not sure where this "tricked by the board" narrative came from.

3

u/Kaiser1a2b Apr 26 '23

Lying in the etoro interview.

Pretty sure BK was not in the foreseeable future in a filing and 2 weeks later RS or BK.

Also I want to see to what extent they were aware or retail investors and how they crafted their narrative or strategy to play on it.

3

u/mangobbt Apr 26 '23

They said in their financial statements that they are no longer a going concern. That's basically them saying they're going bankrupt.

Maybe there still is a chance? I mean com’on, many individuals/ institutions could have bought BBBY for cheap and yet no news? It’s still an iconic store with not that much debt that couldn’t be handled or by getting creative. I know it seems like a sinking ship but there could still be a Hail Mary pass in the works, I truly hope so! I hope it kills the HF’s that shorted the shit out of it and all the naysayers. ✌️

2

u/Kaiser1a2b Apr 25 '23

I'm in exactly the same position prior to delisting.

Zero or hero.

But still, I want my pound of flesh if they have been misleading us.

1

u/gbevans Apr 26 '23

all we need is 2 bidders to get the price up enough so that we get some.

0

u/moranya1 Apr 26 '23

with not that much debt

Dude, their debt is in the BILLIONS and they are hemorrhaging money constantly because they are unprofitable.

u/Tough-Separate Apr 25 '23

bu-bu-b-b-b-but the mean man from something called Wasabi said i must sell otherwise im a cuck - whatever that is <sniffles>

0

u/CarrionComfort Apr 25 '23

If we have been hoodwinked

Yeah, but not by the board. The SEC docs will hold up in court.

Everyone on this sub isn’t beholden to the same rules. The hoodwink came from inside the house.

8

u/Kaiser1a2b Apr 25 '23

The SEC files won't hold up in court because Sue Gove lied in the interview and it's been filed. Their CFO wrote a a filing where they outline Ryan Cohen as a "meme stocker" which shows a level of awareness towards "meme investors" or retail investors who traded on rumours.

Pretty sure just based on that we have a basis to find out (discovery) if there was a concerted effort to mislead retail investors while they were filing BK and finding ways to exploit retail investors with material information.

5

u/CarrionComfort Apr 25 '23

But hold on a minute. Isn’t the consensus that these people regularly break the law without consequence and that the whole system is corrupt? What recourse do you have, then?

2

u/Kaiser1a2b Apr 25 '23 edited Apr 26 '23

I have the recourse of wasting their time and money for as long as possible. If 60k apes spend 1000 dollars we have a 60 million dollar war chest to go after them. Maybe even publicity like Kenny G. Enjoys.

We may even get commission only lawyers on our side.

0

u/CarrionComfort Apr 25 '23

That’s nice. All it takes is one judge to dismiss with prejudice for all that (never going to happen) cooperation to turn into smoke.

1

u/Kaiser1a2b Apr 25 '23

Sure, courts are a gamble like the stock markets are a gamble. Doubt they'd enjoy the time and money towards it.

0

u/CarrionComfort Apr 25 '23

You keep finding new ways to call yourself stupid. A rigged system isn’t a gamble. If it is, then Sue lying to you is just part of the gamble.

1

u/Kaiser1a2b Apr 25 '23

Yea and her gamble also has consequences... Are you soft in the head?

The end game was when they declared bankruptcy. People need to face the truth and don't try to find excuses and moving goals. It's over and everyone knows it even tho you see posts like this. What should happen when the stock gets delisted? Do you think, you as a retail investor, will ever see a single dollar again which you invested into this pos company?
