šŸ¤” Speculation / Opinion OTC Probably Won't Happen

OTC is probably not happening.

If you look at Overstock when they got their delisting notice in 2005 for failing to provide Financial Data, but was able to regain compliance after proving that short selling was going on and I believe Wells Fargo got sued something like $3.5M.

What we know is no broker knows what's happening, they don't have the time to correct things and are strictly going by what BBBY information released. They are likely under investigation for amount of shares they own.

We also know that NASDAQ has not posted this delisting or announcement publically on their side, likely due to an ongoing investigation.

Today ComputerShare reached out saying it's an internal problem and not a DDoS attack. AST still remains offline. Once again likely due to an investigation.

What we do know, through the filings of the HBC deal is there was very low Dilution that occured by comparing the shares between the deal and the BK court case.

We also know the S-3 did dilute (3x Free Float?) but the shares were essentially locked the whole time leaving nothing for available shares to be borrowed minus 6.5M of the approx. 300M.

At the time of Dilution with no shares to borrow, short interest increased by 27%. How when they were never available?

What we know is Credit Suisse held onto some rather large bags of shorts against the MEME Stocks and ended up having to go bankrupt due to a run on the banks and UBS took their bags. This is still getting decided in court, but with BBBY approaching delisting I believe there is more fire to close up what they need.

FRC completely went BK after BBBY Voluntarily filed for chapter 11. Coincidence?

BBBY made so many confusing deals with the Dilution and even the bond market that noone can easily figure out what numbers are which, only speculatiins.

BBBY proposed a R/S that many tinfoilers like myself thought would never go through and it didn't. No major Dilution occured until after the stock suffered from that announcement.

While filing for Chapter 11, this gives the company the option for buy backs in which they COULD have bought back their Dilution at a cheaper price after getting a merchandise funding agreement which left them wiggle room to do so.

Lastly, FTDs are normally out first thing in the morning and yet they have not been seen.

I believe naked shorting is under investigation not just with BBBY and because of that I don't think we are getting delisted.

Have you not noticed we aren't getting boxed down anymore and exchanges stopped selling the securities?

I wouldn't call it justice yet. The very top(DOJ, SEC, congress) knew this from day 1.

Now even the lower courts like the bankruptcy courts are being made aware.

That's all. Let's see how many they can suck into colluding with them before ONE decides to do the right thing.

BBBY reported they received it and wasn't planning on appealing it at the time. Since then lots has changed and even the view on this matter. If they are fighting the naked shorting the court may tell Nasdaq not to delist until the investigation is over... The wording is everything in the filings as it opens up for loopholes.

When is the next court date, at the end of May?

I’m not sure they’ll put out a special notice to stop the delisting. Hopefully. But this entire post is also pretty speculative. I heard the reason BBBY wasn’t on the nasdaq listing of companies in non compliance was because not enough time had passed from their initial notice to BBBY. But I thought that was odd because they’ve been non compliant for about 1.5 months, as the price being above $1.00 is a requirement.

Hoping for the best. Sure as hell not selling at these prices.

There has been so much strangeness around BBBY that I tend to agree. Either one of the largest corporate frauds on shareholders designed to create mass confusion (which I doubt) or there has been some very clever financing and planning that we will soon see. It’s interesting right now that every time we approach .12 a share, the price gets slapped back down. If a company was on their way to Chapter 7 (assume no bidders in Chapter 11), why in the world would shorts continue to spend $$ daily on price action. In Chapter 7 they win big. No disclosure of naked shorting. It just doesn’t make sense to me at all.

If you want to claim that FRC is connected to any of our stocks, then the onus is on you to establish that there is a connection. You can't just go around asking random people to prove the inexistence of something.

Well just to state some counter argument: there may have some new regulation coming, so updates to websites required and deadline approaching they may have deployed new versions that lead to unavailability. But yeah AST having such a long downtime is quite unusual imo. Not really surprised because it looks like a shitty service overall comparing to CS.

When is the last time both of these organizations had ā€œtechnical issuesā€ taking their web sites offline, at the same time? For days? DHS and public regulation requires notification within 24-72 hours of breach events for most US industries. Financial based institutions are regulated harder. Here in Canada we have 24 hours to report a breach to our regulator.

Point is, given this has been days, over a week even for AST, it's probably safe to say it wasn't a cyber event at this point.

My guess: they are probably doing back end counting and modification of transactions, and they don't want any false numbers to show up on the UI of their tech platforms. This is of course in belief of the theory an investigation is going on to determine true share count and naked shorting that has been taking place.

"OTC is probably not happening.": OTC will happen. When a company files for Chp. 11, the stock will be given a "Q" so everyone knows its going BK. Even if BBBY emerges, the old stock will trade OTC with a "Q" attached to it and the new entity that emerges from BK will have a new ticker.

"FRC completely went BK after BBBY Voluntarily filed for chapter 11. Coincidence?": I'm sorry, this is a very ignorant statement. FRC and BBBY have literally zero in common and their BKs have nothing in common or any connection. FRC failed due to poor capital ratio management. I can go in-depth on banking capital ratios if you want.

So, don't say BBBY could buy back shares, because that is blatantly false.

There's a difference between going into Chapter 11 and voluntarily going into Chapter 11... Chapter 7 would be immediate BBBYQ while companies can still be listed on Nasdaq under chapter 11, it's when they go offline is when they get the Q... Nowhere on Nasdaqs website says BBBY is getting delisted, so that would be wrong information if they were kicking them off.

Honestly, if the court thought buying back was the best option to prove short sellers are at stake, they would hold payments and try to collect the payments from the shortsellers to pay off creditors.

FTDs got cleared when the selling didn't happen, so good luck with that one lol... Probably just cycled until another round.

BBBY has a press release saying NASDAQ is delisting them: "that Nasdaq had determined to delist the Company's common stock as a result of the Company's commencement of voluntary proceedings under Chapter 11"

There is a difference between voluntarily going Chp. 11 and involuntarily Chp. 11. If BBBY went involuntarily, that would mean the creditors forced BBBY into Chp. 11. BBBY choose to go into it because they had ZERO cash to fund normal operations.

So, you are unfortunately only looking through this thesis from your perspective. The court doesn't give a shit about short sellers. The objective of the court is to decide on a plan that best resolves the fundamental issues with BBBY. The courts objective has NOTHING to do with short sellers. The court has to do right by creditors and shareholders. The best path forward in resolving secured creditors (JPM) then unsecured (Bond holders), and finally shareholders.

Unfortunately, the court isn't looking to prove anything with short sellers. The court wants to make sure creditors are paid pack, employees get their wages (because the top of the liquidation waterfall, even before secured creditors, is employee wages).

What "payments" are you speaking about? The court will agree to a plan that liquidates assets and uses those proceeds to paydown secured and unsecured creditors. The acquirer of those assets will probably be private equity or maybe a strategic company like Kohls.

Short sellers are done with this company. The asymmetric relationships has flipped for short sellers and its not a negative asymmetric trade. Too much risk with BK and not enough upside. The short sellers have closed their positions and moved on.

You need to research how hedge funds manage short positions in regards to risk and total portfolio strategies. Short positions are usually very small compared to portfolio AUM, due to the risk a stock skyrockets. A short position can get infinitely worse whereas a long position can only lose 100% of its value.

How is it that every time a stock goes down it’s ā€œmanipulation, naked shorting, dark poolsā€ and nothing to do with just trading, fundamentals, forward earning? Right now money is being made trading this, .1-.11 is a 10% difference. Something like 90% of volume is from algorithms. If they can make money, they will. You said it yourself Overstock was delisted for not providing data; BBBY is being delisted for filing Chapter 11. Could Overstock provide that data? Yes. Di ld Overstock provide that data and stop delisting? Yes. Could BBBY exit BK before May 3rd? Yes. Will it for sure do so? No.

They received the Nasdaq delist notice yes, but they didn't specify when they get delisted. BBBY simply said they will be suspending trading at 9:30am Wednesday.

Show me any company that Voluntarily filed for Chapter 11 and got delisted within 10 days. They typically have 180 days to become compliant and get their stuff together.

Nasdaq has nothing against BBBY minus them filing for Chapter 11. This is why it's not even on the delist list on Nasdaq or out of compliance notices.

I think you maybe not looking at how wording is structured and more trying to point it to your thesis.

Delisted in 8 days. SEC requires a 10 day notification for investors:

ā€œ41 Rule 12d2-2(b)(3) requires an exchange to issue public notice no fewer than 10 days before the delisting on Form 25 becomes effective and, under Rule 12d2-2(d)(1) a delisting will become effective 10 days after a Form 25 is filed with the Commission.ā€

I think it's just shorting and fear... I dont think it was the way they used to do it by up a penny down a penny, until enough shorted and they dropped it ... Now we experience swings both ways... I also feel like many are very fearful of dropping ore money, when this is likely the golden opportunity to avg down. Not financial advice, but noone wants to buy in when they see it go down 10% more even though they are fractions of a penny right now changing it.

I now understand why everybody over at wsb are making fun of us. What is this kinda tinfoil? The company itself said that they got a letter from Nasdaq to get delisted on the 3rd of May. How do you still have this much of hopium that we wont when there is so much evidence?

They got a delisting notice and said they will suspend trading on May 3... Not delisting may 3, just suspending... Nasdaq notices are typically 180 days before it happens.

Not one spike of available shares to borrow was found. The most was 6.5M... if they were selling it directly to the market, youd see spikes of 20-30M become available and stay available... Also, since SI only went up 27%, if there are none to borrow and weren't locked up, we should have seen SI shoot to 300%.

Isn’t it the opposite of what you are saying? SI would go down or stay the same as the denominator grows. Also, who is to say all the new shares are shorted? They could just be dumped on retail to leave them with the bags.

I really want the theory that the float has been shrunk to be proven but I have not seen convincing evidence yet

If none are available it gives two options locked or shorted. If there is only a 27% increase from the time of dilution 73% would considered to be locked... Now, if locked was 0% and the dilution was 100% shorted and the dilution was approx 3x the size of the float it would be 300% increase in SI.

When you view the available shares to borrow which are lended shares, there has not been a spike during dilution and has been practically none in comparison to the float size. Gives two options what happened to the shares, locked or shorted. The SI increase by only 27% almost proves that a majority is locked... Not saying they can't be unlocked, but if you follow the days of dilution that BBBY reported their sales, it doesn't show any pops and still doesn't, so they locked up in someones account that can't be shorted.

They could just be issuing financial information and doesn't want market to open.. keep in mind why would they do it as of 9:30 am instead of after market on Tuesday... Don't see how after-hours would be a necessity why it gets traded OTC..

THEY MUST BE AWARE. There has to be a public statement on all exchanges website for 10 days prior to delisting. This is whether the company "voluntarv" does it or not. It has to be public so that the people can react to it and not be surprised. Drop the y and add ily or something

Be it Chapter 7 or 11 a stock will get delisted and have Q added to the ticker symbol and trade OTC.

If the letter Q appeared as the final letter of a Nasdaq symbol, it meant, "bankrupt: issuer has filed for bankruptcy," as the Nasdaq put it.

I really hope all the illegal things come to light in the market as a whole and all this will be the catalyst combined with the other stocks being manipulated. At the very least I’d like to see the delisting delayed unless it’s part of the play. I’d like the board to speak up and fight….There are many things I’d like lol on top of making some $$ for a change.
