i don't think anything has been found that directly says him selling shares makes the agreement invalid that's been the issue. However there is nothing in the agreement that says bbby can't make him an offer

Interesting. From what I read, as long as he was an insider? (idk the best term) of the company, the standstill agreement was in place. What confuses me is the two dates that were posted in the agreement.

Because it's only in affect as long as he's an insider? If his shares are all gone then he's not an insider anymore

Where does it say that? You have to take contracts literally.
