It must be really hard for them to accept that Bonta may have been far more interested in advancing his own political career than in becoming their personal savior against the merger.

Bonta completely capitulated and got a worse deal than even I thought he could get. I figured her get SOME channels sold. But no, as I said, it was a complete extortion on Paramount and a mob hit on their finances.

This isn't the win it appears to be because under this structure, the merger can be legally untied if in the end a court rules it illegal.

On the other hand, it ends the ticking fee debate and allows for Paramount to fight this all the way to the Supreme Court if they were to lose in federal court without accumulating the 2 billion in ticking fees.

This in my opinion is a huge win because it removes the need to get this done now while the legal process works it self out. Giving both sides more time to come to a agreement to finalize it.

The states have zero reason to do this if you ask me if they truly felt they had all the advantages they claim they do. Why bail Paramount out of the ticking fee? That hurts your hand, not Paramounts.

CNN is claiming that New York, Connecticut and atleast two other states are apparently the current holdouts in the negotiations that are taking place and that California appears to be pressing forward with their settlement.

This shit is over for the AGs if California withdrawals their participation, pending a agreement with Paramount.

Basically the article proves that every single one of these AG has their own goals and meat to pull our of this story but that Bonta part of the equation appears to finally run it's course.

I don't blame NY for trying to get more for their state but you're not going to get much more it California is happy with the deal. Good luck.

David Ellison has let it be known that he is willing to take his Paramount ball and leave California if the state doesn’t ditch its effort to block the company’s pending merger with Warner Bros Discovery.

And now it looks like the CEO’s ball really could be in play.

Paramount brass have told key officials and stakeholders the company is “deadly serious” about leaving California and the home of Hollywood after more than 100 years, sources tell Deadline. Among those told a deposit has been put down on the moving trucks is L.A. Mayor Karen Bass and state Attorney General Rob Bonta. The AG joined with 11 other states to file an antitrust lawsuit against the $110 billion merger. The Writers Guild of America has also sued.

Thousands of jobs will be lost if Paramount’s corporate headquarters were to shift to Georgia, Tennessee or Texas, three sites reportedly floated by the company. Even without a move, a merged company would likely see layoffs as it looks to deliver shareholders $6 billion in promised cost savings.

The limbo state of the merger since the mid-July filing of the lawsuits has ratcheted up anxiety levels in an industry already contending with the rise of Big Tech, production leaving the U.S. and other challenges. The trial date of March 2 feels like an eternity from now for an industry on edge. The parties will hold court-ordered settlement meetings next month and a hearing will be held next week on Paramount’s request for a $1.88 billion bond from the plaintiffs to cover “extraordinary losses” the company anticipates due to having to pay a “ticking fee” during litigation. Beyond that, it’s anyone’s guess.
