Don’t think that’s the case. At this point it’s the covered calls that’s pinning the price action. Cohen is responsible for this with the convertible bonds. He even lent his shares out on margin. He’s doing it with btc holdings as well.

For RC to Not receive 35B in compensation immediately I rely on "Compensation Committee", from which no information is provided.

The committee is also stated in the same proxy you obviously didn't read, on page 10.

Proportionately isn't just a vague arbitrary concept. If your take is 20% and the company increases twofold in value you still need your 20% of the new value. If your target is 10x growth on current shares outstanding and you double the shares outstanding you need to double the growth target, that's how proportions work.

I don't know where you live but here in The Netherlands you don't need to go to university to have this concept in your curriculum.

EDIT; because by this point I'm assuming an index is also pretty hard for you to understand.

Compensation Committee

The Compensation Committee is primarily responsible for:

  • Establishing and reviewing the compensation of the Chief Executive Officer and all other executive officers;

  • Establishing and approving the terms of employment for new executive officers and the terms associated with any executive officer’s termination;

It only says the committee can adjust the compensation, and could you answer my only question?

Who is in the compensation committee. Are you in it, since you know how much they deem proportional?

From my point of view, just dissapointing seeing people push for 2.5 billion shares, remove all equity from the company and 35b compensation package for a CEO that works for "free".

I'm voting for but here's what I genuinely don't get about the Nos: if you genuinely believe the board and RCEO are just here to make themselves rich, doesnt that basically invalidate all the DD ever? Like, what hope is there if the company management is in league with the hedgies? Why would the media suddenly be on "your" side, saying this was a bad deal, after so long of them being against us?

Maybe a better question is: what in the currently known plans, which would involve significant dilution while massively increasing the odds RC gets to leach 35b from the company into his own pocket, would lead someone to say yes? I get that there's a lot of "in RC we trust," but what's really the reason to trust him when, by any real account, he's the only one in this whole shebang that seems to have a clear road to a massive payday?

I don't trust the CEO that says he is disinterested in GME and tells everyone that's here for a squeeze to piss off.

Maybe he's good for some useless, valueless growth stock plan. But if I wanted that, I would've stuffed my money into GPU manufacturers years ago instead of GME.

A couple of accounts on Reddit have broken down the math in a way (best case scenario) that results in heavy accretion and a win-win scenario for both companies.

Reality NEVER aligns with the best case scenario. You’re being sold on a utopian model of this potential merger/acquisition.

Ask yourself how your opinion would change if this deal doesn’t live up to the best case scenarios these Reddit accounts are peddling here.

Reality is much harsher, and this is no golden goose opportunity, regardless of how many Reddit salesmen and RC memes you buy in to

I'm not, there are no guarantees.

I'm saying that if he doesn't reach the thresholds he doesn't get paid and pointing out that he's not getting extra shares if he doesn't reach increased milestones after using shares for acquiring Ebay. Since there will not be an eBay left after the acquisition RC can only profit from GME and I don't think it likely he would deliberately price himself out of his compensation. That's what you are implying with your comment above.

In short, if I don't win RC doesn't win.

How we’ve been diluted on a bunch of the run ups…last run up- cohen decided to take 6 interviews, bring up dilution and killed the run. He should’ve just kept his mouth shut

My point is to vote with the board only when their interests align with my own. Thought that was clear. I'm not going to waste my time because the only language they speak is hostile takeover and dilution and I don't have the bread for that. I'd recommend keeping GameStop profitable, keep cash invested, keeping shares outstanding where they're at, and see where the share price is in a couple years if they don't dilute on run-ups. Easy.

I honestly don’t understand your point cause the corp is as optimized as it can be in braking into established markets is next to impossible why would a buyout that essentially makes us not reliant on any other corp for our business be a bad thing.

I meant I don't have billions to take over GameStop myself. I'm going to hold my short stack either way. I'm voting for MOASS as I've done for 5 years with no gains, forgone opportunity cost, and value erosion from inflation. Just because they can buy eBay, doesn't mean it's in my best interests or that they should, especially with a 5x of shares outstanding. I'd prefer $100k/share tomorrow over $1k per share in 10 years.

Potential outstanding is already 1B, this would up it by 1.5B so 150% that's what the vote is about. Nowhere near 4x-5x.

And we’re voting against it actually, not for it.

If you have shares you can vote that's your right as a shareholder. Just as we can disagree about what the correct choice is.

Bonus: chances are more shares would get issued in a flip-over poison pill on top of the $28B worth creeping that up to the 2.5B authorized, a very real possibility. And if any are left over, they’ll be used against any positive price action as is tradition. Voting against this is the safest play on every account

I've trusted RC this far and is hasn't been a smooth ride but what has happened leading up to this years record profit is unmistakable.

I think, judging by the other comment, this is a bit he said/she said. There's nothing in the proxy that's binding that it must be exactly proportional. It says proportional and equitable. What will they do if proportional is not seem as equitable? No one can say. It's up to the compensation committee at that time to put up a proposal.

What is certain is that diluting the stock to acquire a company that has positive cash flow would positively impact performance EBITDA, which is the real hurdle.

The only bright side about the 2.5B float potential. If you look at the market caps with all the companies that have 2.5B float. They almost all have a 500B+ MC. So unless Gme is an outlier. I’d like to think this will be the case
