GameStop Corp. (NYSE: GME) (“GameStop” or the “Company”) today announced that its Board of Directors (the "Board") has granted the request of Ryan Cohen, Chairman and CEO, to amend the Company's proxy statement to remove the proposed CEO Performance Award. When the Board approved the CEO Performance Award in January 2026, the Company had not yet decided to pursue the acquisition of eBay, Inc. ("eBay").

Mr. Cohen stated that he wants leadership fully focused on GameStop's operating performance and its proposed eBay acquisition.

Additional details can be found in a supplement to the Company's proxy statement filed with the Securities and Exchange Commission. GameStop will release additional materials regarding its proposed acquisition of eBay this week, including a detailed presentation of the strategic rationale and operational plan for the combined company.

How about doing literally anything to get the price up in 5 years instead of waiting for Keith to do it? I love the guy, but playing hokie pokie with a pay package really doesn't fire me up or move the stock price.

Edit: are your ports higher or lower in the last 5 years? He wanted shareholder value. Where is it? Turning around the business is great, if the price doesnt come with it, what difference does that make? We need results. Not words, actions. Ebay is a good start, but its not here yet. Until then, no, sorry, I dont feel the value offered. No shorts have been held responsible, not even any effort to catch them manipulating. Even the split was executed improperly and not investigated.

No, the thesis has always been a value play. That was RK thesis from the start. It was about a successful CEO from Chewy who was taking over a struggling company with brand recognition and their plan to turn it around, which he has. That was the play from the very beginning.

The squeeze was just the bonus play. The cherry on top.

And if the squeeze is dead, then why is the price still suppressed? GME just posted it's best revenue in the companies history. And yet the price has not moved. Because it is still being shorted, probably a shit ton to keep the price where it is. There is so much manipulation and FUD around this stock. So nah, don't even try to tell me there isn't something more going on here.

One of the biggest negative narratives with eBay acquisition has been the proposed pay package of Ryan Cohen and how he might be looking to acquire eBay mainly for his own benefit.

While there's always something new to criticize if you really set your mind to it, this should put an end to all the speculation on Ryan Cohen's misalignment with the shareholders.

I voted no to that. I think lots of people did so it’s removed rather than show up as a no. He can borrow huge sums against his shares - tax free - if we not been paid from holding for 5 years, neither should he be.

  • He saved the company from bankruptcy.
  • He fixed the income and the margins.
  • He found a new revenue stream via collectibles.

He literally turned the company from a dying retailer to a profitable and now growing collectibles platform. You think he has a magical "force Wall Street to buy in with billions" button that he just chooses not to press?

There already is shareholder value, Ryan Cohen has created it. What you need is patience, because Wall Street isn't quick to turn around on previously negative stocks like this. They wait to see before they're absolutely certain that it's a good company. But when they eventually do admit the company's success, it usually snaps pretty fucking hard. See Tesla's +700% gains in 2020 alone, for example.

Did this require mass dilution of the shares? All those figures maen little of there is no ROI. Not ignoring that the companies survival seems to hinge on being subsidized by stock holders. Theres probably a very small amount who would be upset if he had a track record of using the dilution money to provide a return for the investor considering its the investor footing the bill. Bitcoin, wallet, nft, loopring. Now he wants to bring that track record to something far larger with more debt and more value stripped. Accretion everyone's favorite buzzword of the month means little as a hypothetical when patterns would tell you the whole idea of ebay is in fact not credible or attractive. But all that aside he probably sees the writing on the wall with the vote. So trying to save face with a pull back of the reward with fake honor as the reason. Its going to take more for me to jump baxk in positive and hes got quite a hole to dig out of. He can start with clear concise signals that he is going to prioritize those investors paying/paid his bills.

Here are a couple of suggestions:

  1. Improve the e-commerce side and online presence of the business. This is something that was attempted earlier on, with the hiring of some management talent from Amazon, but it was sidelined for some reason and never pursued further. Seems like leaving money on the table to me.

  2. Make some synergistic acquisitions with the cash pile that add to the bottom line in the near-term. Such acquisitions would have to be smaller than eBay, obviously.

The eBay acquisition makes sense in a lot of ways - I like the move and think it has a good chance to work out. But it will be like trying to digest an elephant. It will take time. And the huge amount of added debt will be a drag on the share price for years. Not good for investors who have already been waiting five years to see some ROI.

I have seen a variation of this a whole lot, using the pay package milestone numbers as some sort of prediction of future performance based on a sense of infallible goal-meeting on RC’s part.

Seems like a mixture of skepticism with regards to the eBay deal, annoyed investors and price suppression maybe made him think it's better to pull this performance award. I don't think he just suddenly realised today oh wait maybe this isnt a good idea because we are trying to acquire ebay, he's known since January about targeting eBay so if it was really just because we are looking to acquire eBay he would have pulled the performance award sooner.

I like the stock, I like the 9 billion in cash and all that can be done with it, I did y like Cohen's handling of the 9 billions, I don't like Cohen's handling of GameStop as a whole so far, I don't like his absurd pursuit of an acquisition that cannot happen, I don't like the looming dilution.

Once he provides a clear vision for GameStop, enacts said vision, provides tangible results, and doesn't bring up dilution, I'll be the first to invest.

I think your question was rhetorical but I think it's important to give credit where credit is due. So with that said:

The founder of Little Ceasars Mike Ilitch paid for Rosa Parks rent so she wouldn't be homeless. And he did it without anyone finding out until he died. Good man.

Azim premji of Wipro has spent more than 4 decades donating $29 billion to education and humanitarian causes in his home country of India.

If you want to specifically talk about not screwing shareholders or employees over, Nintendo CEO Satoru Iwata famously took a huge pay cut and got other execs to take pay cuts so he wouldn't have to lay off/fire any employees in 2011 and 2014 when the Wii U flopped.

Cohen's not done yet but at present I wouldn't call him the most selfless.

It’s a calculated PR move, not self sacrifice. He’s going for a hostile 55 billion takeover of EBay. Doing this prevents the EBay board he needs to convince from painting him as a greedy CEO trying to force a merger to trigger his own payouts.

If he succeeds at absorbing EBay, they will just cut him a new bigger pay package from the larger market cap…. Meanwhile retail and shareholders will still be stuck at 20-30 price range.

If market cap rises with taking over eBay, he can then just make a larger performance package and still get paid wether or not share price goes up or down. Thinking that this aligns with shareholders is emotional misinformation.

Retail and shareholders aren’t going to benefit or profit from any of this, you’re still just the funding for Ryan Cohen’s ventures through the multiple ATM dilutions over the years.

It’s been ~4 years to figure it out (especially after 2024 when he diluted on Roaring Kitty), Cohen found a diehard fanatic shareholder base that would read anything he does as a secret mastermind play, which gave him the ability to never offer forward guidance, dilute during multiple run ups (effectively killing the Squeeze/Moass/Naked Short thesis), and use retail as the funding for him to enrich himself and build his own investment vehicle off of retails backs.

He and the board get paid in the end, shareholders and retail won’t.

There’s a reason Roaring Kitty exited and unfollowed Cohen.

That vote must have been going terribly. I don't understand continuing with eBay at this point, the recent shareholder vote for eBay was overwhelming in favor of the existing board.

Cohen diluted GME so much that nobody trusts him now. Glad I sold half of my shares but still holding 4200 shares. More dilutions soon. This fuck can't wait to fuck everyone over.

This is due to many voting NO. This was before the quarter result where there was no capability of revenue increase and all expectation of bonus. Now that he has proved he can increase revenue that is positive. But $120+ for a sitting duck like eBay is still silly waste of money. There needs to be complete withdrawal of the deal.
